MINUTES OF THE LONG HILL TOWNSHIP COMMITTEE
REORGANIZATION MEETING
JANUARY 2, 2007
Mr. Sluka, Administrator/Municipal Clerk, called the annual reorganization meeting of the Long Hill Township Committee to order at 6:13 p.m. on Tuesday, January 2, 2007.
Mr. Sluka read the following statement:
“In compliance with the Open Public Meetings Act of New Jersey, adequate notice of this meeting was provided on December 21, 2006, by faxing written notice to the Echoes Sentinel and Courier News, posted on the bulletin board in the Municipal Building and filled with the Municipal Clerk.”
The cub scouts led all present in the Pledge of Allegiance.
Mr. Sluka administered the Oath of Office to Jerry Aroneo as a member of the Long Hill Township Committee with a term expiration of December 31, 2009.

Mayor Vitureira gave the following speech:
First of all I want to thank everybody for coming here tonight and joining us for what I believe will be the start of a new direction for Long Hill Township. I’m looking forward to the challenges we face this year and I welcome the opportunity to serve as Mayor.
First of all, I want to specifically mention and welcome some of our elected representatives that are here tonight. I already noticed that our Senator Tom Kean is here, State Assemblyman John Bramnick is here, and Freeholders Doug Cabana, Margaret Nordstrom and Bill Chegwidden. If I missed anybody I apologize. So give these people a round of applause (inaudible). Thank you for coming.
There’s, I also like to welcome a few of the former mayors and township committee members that I’ve seen in the audience, I know former mayor Lynne Combs is here, former mayor Suzanne Dapkins is here, former mayor Walter Sadowski is here, former mayor Bill Smullen, township committee member George Falzarano and if I missed anybody again I apologize. So please, yeah I said Lynne Combs, I got. Thank you. So welcome and (inaudible from audience). Who’s out there? Raise your hand. If I missed somebody. (audience: Pete Stager). Pete Stager, I’m sorry. How could I miss Pete. Yeah, I would like to thank all of these public servants for their dedication and service. I know it’s a difficult job and I think they all deserve a round of applause. You already applauded, so you don’t need to applaud.
As a showing of our appreciation, I welcome also new members Jerry Aroneo and Mead Briggs. I know that they will jump right into the process head first and speak their minds. I know that they are the type to do so. We are here to discuss ideas openly and to decide on the most prudent and practical means to proceed in the best interest of our Township and I hope and believe that every member of the Township Committee will dedicate themselves to that goal this year.
I know that the Committee will also join in inviting residents of the Township to participate in that process. Long Hill could not function without our volunteers so we need to honor them and encourage more volunteerism and participation. We will set in motion some new ideas designed to involve our community further and take advantage of those with the willingness, the skills and the knowledge to make our deliberative process a lot more successful. Getting more people involved is important for another reason and that’s obvious because here we are; the Township Committee is relatively new and I’m sure we could use the help.
In just two years, the voters of this Township have changed every face on this committee. And I’m highlighting this point because I think that this change is a mandate. A mandate from the township residents to proceed in a new direction. And it is clear to me that the voters wanted to introduce fiscal discipline, get our taxes under control, open up the government and change the way we do business. We have no choice on the Township Committee but to make these our primary goals for this year and the coming years.
With respect to our taxes and the budget, I think we need to bring a little bit more common sense and business savvy into the process. I shall encourage the Committee, our Town Administrator, and the Department Heads, to bring the budget in line with our needs and our ability to pay. In these times when we face high taxes from the State and Federal Governments, it is crucial that we in local government do not also dump on our taxpayers by spending more than we need. I have heard too many stories about residents, especially seniors and hardworking families, having to leave our magnificent town because they could no longer afford to live here. And we need to do whatever is within our power to reverse that trend. Simply put, in order to preserve our wonderful community and its residents, Long Hill Township has to remain an affordable place to live. In order to achieve this goal, we need to go back to the drawing board and get back to basics.
One of the things I’d like to do is have our Department Heads adopt a zero based budget. They need to look at their budgets, line by line, and come up with the justification for every Township program and for the corresponding spending. And the test should be that every penny has to be spent wisely and efficiently.
And to that end, we will be creating a new ad-hoc committee to review our budget and the expenses of each department. We will call it the Financial Responsibility Advisory Committee or FRAC for short.
The FRAC committee will be a blue ribbon committee made up of local residents and include former mayors, town administrators, professional managers, and accountants. And the committee will review in detail the expenses of the town and advise the Township Committee on areas where we can reorganize or make reductions. The goal is to bring our costs in line with the community’s needs and ability to pay. We will charge this committee with the duty to assist us in finding the most prudent and economic means by which we can keep tax rates flat this year and stable for the foreseeable future.
We will also be appointing new auditors and a new Chief Financial Officer. They will be a fresh set of eyes looking clearly at our budgeting and accounting practices to determine where we can improve and help ferret out waste and mismanagement. And it will not be easy and we will have, I sure, many tough decisions, but after years of double digit tax increases, on average, I think taxpayers have had enough. And I promise that but for unforeseen circumstances, we will pass our budget on time. I will ask the Committee to schedule extra Special Meetings in January and February until we get the job done. And other towns do it and there is no reason why we can’t.
Our second primary goal will be to change the way we do business in this Township. We need to interact better and more thoroughly with the residents of our community. To that end, we will create a new Communications Advisory Committee which will be charged with oversight of a new interactive website and developing our public access TV channel. The new interactive website will permit residents to make payments, submit paperwork and receive documents from the Township online. And the ability to interact with the Township via the internet will save the residents a trip to town hall and will save the administration precious time in dealing with these routine issues. It will be a more efficient system.
The Communications Advisory Committee will also be charged with developing our public access TV channel through which we can broadcast more of our official meetings and important announcements. The public access channel can also serve to provide a community bulletin board and a school news and information system. It can be used to cover local community groups, sporting events, and other public and educational activities. And I will propose that we do this through volunteer efforts working closely with our business community.
There are also several other issues which, on which we will need to work this year, and which will involve expert volunteers from our community. One area is the sewer moratorium. And I will be appointing four residents who are experts in the field to the ad-hoc Sewer Ban Committee. This committee will be task oriented and will be charged with promptly recommending the solutions to our problems. And I think we have studied this issue way, for too many years, and I think it’s about time we find the permanent solutions and implement them.
Another area we need to work on is the future of the Valley Road business corridor. We will be working with the Planning Board and other experts to improve all of our business districts and to encourage the appropriate business development in order to improve the look of these areas as well as to generate new tax revenues. We will also complete the Stirling Revitalization Plan which has staggered on for too long, as well as work with the State and Army Corps of Engineers to resolve any remaining issues related to the Stirling Floodwall Project.
The goals that I have outlined are not fixed in stone, but it is clear to me, that this is an interactive process which has to involve every member of the Township Committee as well as the residents. Put another way, I need help from everybody up here on the dais, as well as all of you out there in the audience to get anything done (inaudible). And I know that there’s only one reason all of us are here tonight, as volunteers or observers, and that is because we have the best interest of Long Hill Township at heart. Together I think we can make a difference and make Long Hill Township a better place for everyone and I look forward to the challenges ahead and I’m very excited about getting going, so let’s get right to the meeting.

Mr. Collins inquired if Mayor Vitureira had spoken to Mr. Hamilton. Mayor Vitureira responded in the affirmative and asked Mr. Hamilton, who was in the audience, if they had discussed this particular issue. Mr. Hamilton responded in the negative. Mayor Vitureira apologized stating that the chairmanship of the Environmental Commission was discussed and this issue would be reserved until he had the opportunity to discuss it with Mr. Hamilton.
On motion of Mr. Briggs, seconded by Mr. Collins, that the appointments of the 2007 Boards and Committees were approved. The vote was as follows:

Mayor Vitureira distributed copies of the motion to create the FRAC to the other Governing Body members.
Mayor Vitureira made the motion, seconded by Mr. Briggs, “to create an ad-hoc committee to be know as the Financial Responsibility Advisory Committee, which shall consist of the Administrator, the CFO and a member of the Township Committee ex-officio and a minimum of six residents of Long Hill Township with financial, accounting and or municipal budget experience. The Mayor shall nominate the chairman and the members of the committee who shall be approved with the advise and consent of the Township Committee. The Financial Responsibility Advisory Committee shall have the duty to review all matters pertaining to the budget with the assistance of the Administrator and CFO and shall report to and advise the Township Committee regarding the most prudent and economical means by which we can keep tax rates at a minimum for this year and stable for the foreseeable future.”
Mr. Collins stated that before any committee is created, a full discussion is needed regarding its parameters and responsibilities, the Governing Body should not turn over to the public something that is the Governing Body’s responsibility and the Governing Body as a whole never discussed this. Ms. Genovese suggested creating a formal, well defined committee via ordinance, which would make its members accountable to all the taxpayers in the Township. Mr. Aroneo stated that the, “problems as we said before are not huge, we can solve them ourselves, but we have people that have the skills that we require to do this more easily. I think we should tap them as a resource”. Mr. Collins stated that no one is against the ad-hoc committee, just that a more formal structure is necessary. Mr. Aroneo stated that the ad-hoc committee can be transformed into a formal committee at a later time. Ms. Genovese stated that last year a Finance Committee Meeting was held in public, there is also a process called Citizen Based Budgeting, and suggested that the Governing Body should discuss all these possibilities and pick the process which is most beneficial to the Township. Mr. Collins stated that the budget is the responsibility of the Governing Body and they are abdicating this responsibility by creating the ad-hoc committee. Mayor Vitureira stated that the ad-hoc committee will make recommendations which the Governing Body can accept, reject or disregard; it opens the budgeting process to more members of the public. Mr. Collins stated that the Governing Body should hold a Finance Committee meeting in public instead and inquired regarding how the Governing Body would interact with the ad-hoc committee. Mayor Vitureira stated that the CFO, Administrator, and department heads will provide the ad-hoc committee the information they will need, the ad-hoc committee will then review the budget and come up with recommendations, “I am not worried about the expertise, because I’m going to be picking experts that have handled this”. Mr. Collins and Ms. Genovese voiced concern that Mayor Vitureira had stated that the ad-hoc committee members would be picked by the Governing Body and now is stating that the Mayor will make the appointments. Mayor Vitureira stated that the Mayor would choose the members with the advice and consent of the Committee.
On motion of Mr. Aroneo, seconded by Mayor Vitureira, that the motion to create the Financial Responsibility Advisory Committee be amended to read that the Township Committee should nominate the chairman and members of the Financial Responsibility Advisory Committee. The vote was as follows:

On motion of Mayor Vitureira “with respect to the Communications Advisory Committee, I’d like to create another ad-hoc committee which will consist of a member of the Township Committee who shall have primary responsibility over the committee, a second member of the Township Committee who shall serve as an alternate, the Township Administrator, the Township Webmaster and a minimum of four residents of Long Hill Township, two of whom must have experience in the fields of communications and media studies or computer information sciences including but not limited to website design or maintenance, video or television production or operation or marketing. The Communications Advisory Committee shall have the responsibility to advise the Township Committee regarding the creation of a new interactive website which shall be designed to improve the communications with the Township residents and permit online payments of taxes and other fees. The exchange of paperwork and receive official documents from the Township. The Communications Advisory Committee shall also be charged with researching and advising the Township Committee regarding the creation of a Township public access television channel designed to broadcast official meetings and important announcements, serve as a community bulletin board and a school news and information system and cover local community groups, sporting events and other public and educational activities”.
Mr. Collins stated that he does not see any language regarding who would appoint the members.
Mayor Vitureira added to the motion that the Township Committee shall nominate the members of the ad-hoc committee. Mr. Briggs seconded the motion.
Ms. Genovese stated that this is the first time she has seen this proposal and would like more information, noting that a communications committee was formed a few years ago which became dysfunctional and she would like the opportunity to ascertain what went wrong in the past and compare it to this proposal. Mr. Aroneo stated that he would like to go ahead with the ad-hoc committee and that the lack of success in the past does not mean history will repeat itself. Mr. Collins stated that he supports the concept of the committee. Ms. Genovese suggested creating a formal committee, via ordinance, since this is not a time sensitive issue. Mr. Collins suggested an amendment that the ad-hoc committee will not last longer than two months at which time an ordinance should be addressed to create a permanent committee. Mayor Vitureira stated that the ad-hoc committee will not be needed once a website and pubic access channel are designed. Mr. Collins stated that technology and the need for it is unlimited and a permanent communication committee is needed. Mayor Vitureira suggested creating the ad-hoc committee for six months. Mr. Aroneo suggested making the term one year. Ms. Genovese inquired of Mayor Vitureira if the whole website will be changed as well as the webmaster. Mayor Vitureira stated that the ad-hoc committee will study these issues. Ms. Genovese stated that the website recently received an honorable mention award and she needs more information regarding this ad-hoc committee. Mr. Pidgeon suggested that the ad-hoc committee be charged with reporting back to the Governing Body with recommendations within six months at which time the Governing Body can revisit and determine how they would like to proceed with the ad-hoc committee.

Mayor Vitureira stated that there are a couple of changes he would like to make to the consent agenda and requested that Mr. Sluka note the changes. Mr. Sluka stated that Mayor Vitureira had wanted the CFO changed on resolution #07-029 and requested that resolution #07-030 be pulled from the Consent Agenda. Ms. Genovese inquired regarding the change to resolution #07-029. Mayor Vitureira stated that he would like to change the CFO from Rosalie Tebbs to Sue Veitengruber. Ms. Genovese stated that the Governing Body only discussed this issue once in executive session and inquired regarding terms of appointment and salary. Mayor Vitureira stated that he had a resolution regarding Ms. Veitengruber’s terms but unfortunately Mayor Vitureira only had one copy.
Mayor Vitureira read the resolution:
WHEREAS, Rosalie Tebbs retired as CFO on March 31, 2006; and
WHEREAS, Mrs. Tebbs graciously agreed to assist the Township during its transition to a new CFO and was appointed Acting Chief Financial Officer by resolution 06-146 adopted May 10, 2006, which provided that Mrs. Tebbs was to serve as CFO until a new CFO was appointed; and
WHEREAS, the Township Committee wishes to appoint Sue Veitengruber as CFO; and
WHEREAS, Sue Veitengruber holds a Municipal Finance Officer certificate issued pursuant to the provisions of N.J.S.A. 40A:9-140 et seq.; and
NOW, THEREFORE BE IT RESOLVED, by the Governing Body of the Township Committee of the Township of Long Hill, in the County of Morris, New Jersey, that Sue Veitengruber is hereby appointed Chief Financial Officer to the Township of Long Hill in accordance with the provisions of N.J.S.A. 40A:9-140.1 et seq. as follows:
Term: 4 years commencing February 1, 2007 and ending December 31, 2010
Compensation: $75,000 per annum
Benefits: As set forth in the Township Personnel and Policy Procedure Manual except that she shall be entitled to three weeks paid vacation during her first year of employment in recognition of her prior experience.
Ms. Genovese stated that this feels more like a dictatorship than like open government, suggested that anyone who is concerned should google Ms. Veitengruber that they will “see that this is not a good decision for Long Hill Township” and asked Mayor Vitureira if he spoke to Ms. Tebbs. Mr. Collins stated that he was the only person on the Governing Body who interviewed Ms. Veitengruber and made a strong recommendation not to hire her. Mr. Aroneo and Mr. Briggs stated that they both interviewed Ms. Veitengruber as concerned citizens. Mayor Vitureira stated that this interview took place before Mr. Briggs and Mr. Aroneo were elected onto the Governing Body. Mr. Collins inquired if the process for hiring personnel has changed why Mayor Vitureira feels that this has to be done now and stated, “I will not put my name on this woman being hired in this town. It’s absolutely insane”. Mayor Vitureira asked Mr. Pidgeon if he put the term in the resolution as four years because it is statutory. Mr. Pidgeon responded in the affirmative. Mr. Pidgeon explained that a CFO can be removed during their initial term for good cause but the term has to be for four years. Mr. Aroneo stated that he googled Ms. Veitengruber, that is why he wanted a one year term and he was told that this position would be part-time after six months. Mayor Vitureira stated that the position can be part-time. Mr. Pidgeon explained that one of the exceptions to tenure, or an appointment for term, is that you can always change the parameters of the employment; you cannot just do it as a subterfuge but if the structure of a department is truly being changed from full-time to part-time or part-time to full-time, under those circumstances a tenured official can be replaced, but it cannot be a subterfuge. Ms. Genovese stated that in executive session the Administrator, who conducted the interview with Mr. Collins, did not recommend the hiring of Ms. Veitengruber. Mr. Collins stated that he does not understand why the Township cannot continue to search for a qualified CFO. Mayor Vitureira stated that Ms. Veitengruber teaches CFO classes and is therefore highly qualified. Mr. Collins stated that there are a lot of good teachers who are not necessary qualified at a job. Mayor Vitureira stated that he interviewed Ms. Veitengruber and does not agree with Mr. Collins’ statement. Mr. Collins asked if there is a new process for interviewing potential employees that he is not aware of and suggested deferring the appointment because of the concerns which were raised. The Governing Body decided to put off the appointment of Ms. Veitengruber in order to allow for further review and to leave resolution #07-029 on the Consent Agenda.
Mayor Vitureira recommended pulling resolution #07-030 in order to allow the Governing Body time to review all the salaries. Mr. Pidgeon explained that if the vote on resolution #07-030 is not unanimous, it has to pulled off the Consent Agenda. Mayor Vitureira pulled resolution #07-030 off the Consent Agenda.
Mr. Aroneo inquired regarding voting on resolution #07-029, in terms of being related to Louis Aroneo. Mr. Pidgeon explained that the resolution can remain on the Consent Agenda and Mr. Briggs and Mr. Aroneo just need to note when they vote that they are abstaining from the resolution. Mayor Vitureira stated that they could abstain to the extent of being related to Louis Aroneo.
On motion of Mr. Collins, seconded by Ms. Genovese, the following Consent Agenda Resolutions, with the exception of resolution #07-030, were introduced and adopted as amended:

ESTABLISHING INTEREST RATE ON DELINQUENT TAXES
BE IT RESOLVED by the Township Committee of the Township of Long Hill that in accordance with R.S. 54:4-67 the interest rate on delinquent 2007 taxes shall be as follows:
1. Eight percent (8%) per annum on the first $1,500.00 of the delinquency.
2. Eighteen (18%) in any amount in excess of $1,500.00
3. Any taxpayer with a cumulative delinquency in excess of $10,000.00 who fails to pay the delinquency prior to the end of the calendar year shall be charged with a penalty equal to six percent (6%) of the amount of the delinquency.
BE IT FURTHER RESOLVED that no interest shall be charged until ten (10) days after the due date.

WHEREAS, NJSA 40A:5-21 authorizes the establishment of a petty cash fund for the Municipal Clerk’s Office in the Township of Long Hill; and
WHEREAS, said petty cash fund was established by the Township Committee by resolution; and
WHEREAS, said petty cash fund received approval from the Director of Local Government Services; and
WHEREAS, it is the desire of the Township Committee that said fund be continued under the direction of the Municipal Clerk;

1. ADOPTING SCHEDULE FOR PREPAYMENT OF LOCAL PROPERTY TAXES
WHEREAS, R.S. 54:4-67 provide that:
“The governing body of each municipality may by resolution fix the rate of discount to be allowed for the payment of taxes…previous to the date on which they would become delinquent. The rates affixed shall not exceed six (6%) percent per annum, shall be allowed only in case of payment on or before the thirtieth (30) day previous to the date on which the taxes or assessments would be delinquent”’; and
WHEREAS, the Township Committee wishes to adopt a discount schedule for the payment of taxes;
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Long Hill, in the County of Morris, State of New Jersey that pursuant to R.S. 54:4-67 it hereby adopts the following schedule for prepayment of local property taxes:
1. A taxpayer may prepay one-quarter, two-quarters, three-quarters or their entire tax bill for the following tax year.
2. All prepayments must be received on or before 12:00 noon on the last regular business day (on which books are open) of the year prior to the year in which taxes are due.
3. The following factors shall be applied to pre-payments made in accordance with paragraph 2 of this resolution:

AUTHORIZING THE AWARD OF A NON-FAIR AND OPEN CONTRACT FOR LEGAL SERVICES – APUZZESE, McDERMOTT, MAESTRO & MURPHY
WHEREAS, the Township of Long Hill requires professional legal services for labor related matters, which shall include but not limited to drafting and reviewing correspondence, representation on labor matters, attendance at meetings and providing advice as a non-fair and open contract pursuant to the provisions of N.J.S.A. 19:44A-20.5; and
WHEREAS, the Township Administrator serving as the Purchasing Agent has determined and certified in writing that the value of the amount of the contract will exceed ($17,500) seventeen thousand five hundred dollars; and
WHEREAS, the anticipated term of this contract is (1) one year; and
WHEREAS, the Law Firm of Apruzzese, McDermott, Maestro & Murphy, P.O. Box 112, Liberty Corner, New Jersey 07938, has submitted a rate proposal dated December 5, 2006, indicating they will provide the legal services for an hourly rate of ($150) one hundred seventy five dollars; and
WHEREAS, the Law Firm of Apruzzese, McDermott, Mastro & Murphy has completed and submitted a Business Entity Disclosure Certification which certifies that the Law Firm of Apruzzese, McDermott, Maestro & Murphy, has not made any reportable contributions to a political or candidate committee in the Township of Long Hill in the previous one year, and that the contract will prohibit the Law Firm of Apruzzese, McDermott, Maestro & Murphy from making any reportable contributions through the term of the contract; and
WHEREAS, in addition, this contract is for professional services and may be awarded without public bidding pursuant to N.J.S.A. 40A:11-5(1)(a)(i); and
WHEREAS, the Township Chief Financial Officer in accordance with N.J.A.C. 5:34-5.1 has certified in writing to the Township Committee the availability of adequate funds to pay the maximum amount of the contract;
NOW, THEREFORE, BE IT RESOLVED, by the Township Committee of the Township of Long Hill, in the County of Morris, State of New Jersey as follows:
1. A professional services contract with Law Firm of Apruzzese, McDermott, Maestro & Murphy, P.O. Box 112, Liberty Corner, New Jersey 07938 is hereby authorized
2. The Mayor and Clerk are authorized to sign a professional service contract with Law Firm of Apruzzese, McDermott, Maestro & Murphy, in accordance with the following terms and conditions:
A. Term: A period of not to exceed 12 months

4. The Township Clerk shall make copies of this resolution available for public inspection at the Municipal Building, 915 Valley Road, Gillette, New Jersey during regular business hours.
7. This contract amount will be usually charged to the debt being authorized. But shall supply a written hourly rate for such services. The certification of available funds by the Township Chief Financial Officer shall be made if such fees are not charged to the debt being authorized.

ACCEPTING RESIGNATION – BROCHHAGEN
BE IT RESOLVED, that the Township Committee of the Township of Long Hill does hereby accept the resignation of Sergeant Robert H. Brochhagen in accordance with the Separation Plan offered via Resolution 06- 313, effective at the end of the working on December 31, 2007 in accordance with the resignation letter dated December 16, 2006.

WHEREAS, the Township of Long Hill requires professional legal services which shall include but not limited to review of contracts, drafting correspondence, representation on legal matters, attendance at meetings and providing advice as a non-fair and open contract pursuant to the provisions of N.J.S.A. 19:44A-20.5; and
WHEREAS, the Township Administrator serving as the Purchasing Agent has determined and certified in writing that the value of the amount of the contract will exceed ($17,500) seventeen thousand five hundred dollars; and

B. Rate: $140 per hour
C. Services: The firm shall provide professional legal services

APPOINTING MUNICIPAL PROSECUTOR - LISA CHADWICK THOMPSON
WHEREAS, N.J.S.A. 2B:25-4 provides that “[e]ach municipal court . . . shall have at least one municipal prosecutor appointed by the governing body . . . .”; and
WHEREAS, N.J.S.A. 2B:25-4 further provides that “Municipal prosecutors shall be compensated either on an hourly, per diem, annual or other basis as the . . . municipality provides . . . .”; and
WHEREAS, the Township Committee wishes to compensate the municipal prosecutor on a monthly basis until such matter can be discussed by the Township Committee; and
WHEREAS, the anticipated term of this contract is for a maximum of 90 days or until such time another appointment is made; and
WHEREAS, Lisa Chadwick Thompson has submitted a proposal to serve as municipal prosecutor during 2007 for an annual fee of $19, 062 as per schedule established by the Municipal Court prorated for the year; and
WHEREAS, the Lisa Chadwick Thompson has completed and submitted a Business Entity Disclosure Certification which certifies that neither she nor the firm of Nuzzi & Mason, LLC has made any reportable contributions to a political or candidate committee in the Township of Long Hill in the previous one year, and that the contract will prohibit her and her law firm from making any reportable contributions through the term of the contract; and
WHEREAS, in addition, this contract is for professional services and may be awarded without public bidding pursuant to N.J.S.A. 40A:11-5(1)(a)(i); and
WHEREAS, the Township Chief Financial Officer in accordance with N.J.A.C. 5:34-5.1 has certified in writing to the Township Committee the availability of adequate funds to pay the maximum amount of the contract;
NOW, THEREFORE, BE IT RESOLVED, by the Township Committee of the Township of Long Hill, in the County of Morris, State of New Jersey as follows:
1. Lisa Chadwick Thompson is hereby appointed Long Hill Township Municipal Prosecutor for a term not to exceed ninety days effective January 1, 2007
2. A professional services contract with Lisa Chadwick Thompson, Esq. to serve as Municipal Prosecutor is hereby authorized. Ms. Thompson shall be an independent contractor and not an employee of the Township.
3. The Mayor and Clerk are authorized to sign a professional services contract with Lisa Chadwick Thompson in accordance with the following terms and conditions:
A. Term: A period of not to exceed 90 days
B. Rate: $19,096 as per schedule established by the Municipal Court prorated for the year.
C. Services: Lisa Chadwick Thompson shall serve as Municipal Prosecutor
3. The Township Clerk in accordance with the provisions of N.J.S.A. 40A:11-5(1)(a)(i), is directed to publish a notice once in the Echoes Sentinel stating the nature, duration, service and amount of this contract.

RESOLUTION 07-036
DESIGNATING THE OFFICIAL DEPOSITORIES
BE IT RESOLVED by the Township Committee of the Township of Long that the following banks are hereby designated as depositories for funds for the Township of Long Hill for 2007 and checking accounts as indicated, shall be maintained as follows:

BE IT FURTHER RESOLVED by the Township Committee that the Bank of New York (to be known as Chase Manhattan Bank effective April 15, 2007), Stirling, NJ is hereby designated as the depository for the Public Employees Unemployment Benefits Trust Account, an interest bearing account.
BE IT FURTHER RESOLVED that all withdrawals against the foregoing accounts shall bear the signatures of the following officials of said Township: Mayor, Chief Financial Officer, Municipal Clerk. In the absence of the Mayor, Chief Financial Officer or Municipal Clerk, the Deputy Mayor, Finance Clerk or Deputy Clerk may sign.
BE IT FURTHER RESOLVED that in the event of illness or absence of the Clerk, Mayor, Chief Financial Officer, Deputy Mayor, Deputy Clerk or Finance Clerk that two (2) of the required signatures will be sufficient for a ten (10) day period upon due notification to said banks.

RESOLUTION 07-038
AUTHORIZING AND DIRECTING OF TRANSFER OF ACCOUNTS
BE IT RESOLVED by the Township Committee of the Township of Long Hill that the Bank of New York (to be known as Chase Manhattan Bank effective April 15, 2007), Long Hill Township Branch, Stirling, New Jersey, be and the same is hereby authorized and directed to transfer all funds in the 2006 Current Account to the 2007 Current Account.
BE IT FURTHER RESOLVED that the said Bank honor all outstanding checks against the 2006 Current Account when presented for payment.

Mayor Vitureira opened the meeting to the public.
Wendy McCahill, Millington, stated that it is interesting that Mayor Vitureira, Mr. Aroneo and Mr. Briggs are discussing open communications for the Township, but Ms. Genovese and Mr. Collins have been excluded from new ideas which require significant discussion. Mayor Vitureira stated that he did discuss the items with Mr. Collins.
Tom Degenaro, Millington, thanked the Governing Body members for their service to the Township and encouraged them to stay focused and keep their campaign promises.
Tom Behr, Millington, commended the Governing Body in applying due diligence for the hiring of a CFO and inquired regarding the Planning & Zoning Administrator. Mr. Pidgeon explained that Ms. Wolfe is an ongoing employee.
Karl Schlegel, Stirling, congratulated Mayor Vitureira, Mr. Aroneo and Mr. Briggs on their appointments, thanked Ms. Genovese and Mr. Collins for their services as Mayor and Committee Member in 2006 respectively. Mr. Schlegel inquired if the public will be allowed to comment before the appointment of a new webmaster. Mayor Vitureira stated that this matter will be taken up at the next Township Committee meeting and the public will be allowed to comment. Mr. Schlegel urged the Governing Body that in light of things which have come out in the papers, the investigation report and in light of the committee’s promise to have open government, if the former webmaster is appointment again, that the 2003 minutes where the former webmaster was removed should be entered for open public discussion and anyone be allowed to comment on what happened at that time also allowing the former webmaster the opportunity to respond to the allegations. Mr. Schlegel stated that he would have difficulty trusting the integrity of the emails he sent to the Governing Body and Department Heads knowing that the webmaster could access them.
Steve Kesselmeyer, FOP President, inquired if all the contractual salaries on resolution #07-030 were going through as scheduled. Mr. Pidgeon and Mayor Vitureira responded in the affirmative. Mr. Sluka stated that the only reason that the contractual salaries are put on the resolution is so that the public can see them. Mayor Vitureira stated that all Township employee salaries should be disclosed and a forum will be provided when the website is upgraded.
Len Hamilton, Meyersville, congratulated Mr. Aroneo and Mr. Briggs on their election onto the Governing Body and urged that important issues such as broad scale communications and the budget be handled in open meetings affording the public an opportunity to speak regarding the issues. Mayor Vitureira voiced his agreement.
Mr. Sluka stated that Monsignor Brown had arrived to perform the invocation.
Monsignor Patrick E. Brown congratulated Mayor Vitureira on being appointed Mayor, Mr. Briggs and Mr. Aroneo on being elected onto the Township Committee, Mr. Collins for all his work and dedication to the Lounsberry Board, and Ms. Genovese for all her hard work as Mayor in 2006 and for her concern for all.
Monsignor Brown gave the invocation.
No one else wished to be heard and Mayor Vitureira closed the meeting to the public.
On motion of Mr. Collins, seconded by Mr. Aroneo and unanimous voice vote, that the meeting adjourned at 7:37 p.m.
